alter, change or otherwise make any modification to the software or create derivative

This license provides you with limited rights to use the software. COMPLIANCEDOC or
the third party owner of the software retains all ownership, right, title and interest
in and to the software and in all portions of the software, including but not limited

COMPLIANCEDOC or the third party owner reserves all rights not specifically granted
in this license, including domestic and international copyrights.
The software manuals, documentation, and other support materials are either
patented, copyrighted, constitute valuable trade secrets (whether or not any
portion of them may be copyrighted or patented) or are otherwise proprietary
to COMPLIANCEDOC or to the third party owner. You shall not remove or obscure
the COMPLIANCEDOC’s copyright, trademark or other proprietary notices from
any of the materials contained in the software.
You agree that the licensed software, including the specific design and structure,
constitute trade secrets and/or copyrighted material of the Company or third
party owner. You agree not to disclose, provide, or otherwise make available
such trade secrets or copyrighted material in any form to any third party
without the prior written consent of COMPLIANCEDOC.
COMPLIANCEDOC warrants that the software substantially conforms to its
published specifications. Your exclusive remedy and the entire liability of
the Company or third party owner under this limited warranty will be, at the
COMPLIANCEDOC’s or third party owner’s option, repair, replacement, or refund
of the software if reported (or, upon request, returned). In no event does
COMPLIANCEDOC or third party owner warrant that the software is error free or
that Customer will be able to operate the Software without problems or interruptions.
This warranty does not apply if the software (a) has been altered by you, (b)
has not been installed, operated, repaired, or maintained in accordance with
instructions supplied by COMPLIANCEDOC, (c) has been subjected to abnormal
physical or electrical stress, misuse, negligence, or accident, or (d) is
used in ultra hazardous activities.
The software is provided to you on an “as is” basis, without any express or
implied warranty, conditions or representations (other than specified above)
of any kind including, without limitation, any warranty or condition of
merchantability, fitness for a particular purpose and non infringement.
All such warranties are hereby excluded to the extent allowed by applicable law.
THE COMPANY OR THE THIRD PARTY OWNER SHALL NOT BE LIABLE FOR ANY INDIRECT, SPECIAL,
INCIDENTAL OR CONSEQUENTIAL DAMAGES OR LOSS, INCLUDING DAMAGES FOR LOSS OF BUSINESS,

of termination of the services provided by COMPLIANCEDOC, if you fail to comply with
any provision of this license, if you use the software for any illegal purpose, or
if you make false claims about software. Upon such termination, or termination
according to the terms of this Agreement, you shall cease all use of the software.
The COMPLIANCEDOC safety statement compiler application is based on current
Irish safety, heath and welfare legislation and every effort is made to ensure the
accuracy of the contents and the suitability of the application. However, changes in
legislation, guidance and best practice can occur at short notice and therefore the
accuracy and relevance of the application cannot be guaranteed.
Certain third party software may from time to time be also made available to you
on this Site. COMPLIANCEDOC is in no way responsible for this software. It makes
no warranty or representations regarding, and does not endorse, such software. You use
the software at your own risk. Your use of the software is a matter which is entirely
between you and the third party software provider.

REFUND POLICY
ComplianceDoc has been developed as a business to business (B2B) application and not as a business to consumer (B2C) application and as such the Consumer Protection (Distance Selling) Regulations, 2000 do not apply to this contract. In addition, as ComplianceDoc provides users with a customised document based on user specific information and data, it is not possible to provide a refund or to cancel an account once a user has registered on the site and paid the fee. We also cannot provide any refund of the subscription fee if you decide not to use a document.
LIMITATION OF LIABILITY
IN NO EVENT SHALL COMPLIANCEDOC OR ANY OF ITS SUBSIDIARIES OR ASSOCIATED COMPANIES BE LIABLE TO ANY ENTITY FOR ANY DIRECT, INDIRECT, CONSEQUENTIAL OR OTHER LOSS (INCLUDING, WITHOUT LIMITATION, ANY LOSS OF PROFITS, BUSINESS INTERRUPTION, LOSS OF INFORMATION OR PROGRAMS OR OTHER DATA ON YOUR INFORMATION HANDLING SYSTEM) THAT ARE RELATED TO THE USE OF, OR THE INABILITY TO USE, THE CONTENT, MATERIALS, AND FUNCTIONS OF THIS SITE OR ANY LINKED WEBSITE, EVEN IF COMPLIANCEDOC IS EXPRESSLY ADVISED OF THE POSSIBILITY OF SUCH LOSS. FORCE MAJEURE
A party shall be released from liability in damages and other sanctions where the performance of a specific obligation is prevented or rendered onerous due to circumstances beyond a party’s control and which could not reasonably have been foreseen. Such force majeure events include, inter alia, labour conflicts, lightning, fire, decisions of public authorities or other public regulations, acts of terrorism, errors in another operator’s network, delays in services from subcontractors due to events as stated above, general scarcity of transport, goods, or energy, or other similar circumstances.
Where a party’s performance is prevented for a period in excess of one (1) month due to an event as stated above, either party shall be entitled to terminate the Agreement in writing without any obligation to pay compensation.
CHOICE OF LAW
These terms and conditions of use are governed by Irish law and any dispute connected with this Site is subject to the exclusive jurisdiction of the Irish courts. COMPLIANCEDOC makes no representation that materials at this Site are appropriate or available for use at other locations outside of the Republic of Ireland and access to them from territories where their contents are illegal is prohibited. If you access this Site from a location outside of the Republic of Ireland, you are responsible for compliance with all local laws.
Any cause of action you may have with respect to your use of this Site must be commenced within one (1) year after the claim or cause of action arises.
